The Receiving Party may retain Confidential Information in ordinary-course electronic archives and backups, when required by law, or when reasonably necessary to demonstrate compliance with the Agreement or applicable law, provided the retained information remains subject to the Agreement’s confidentiality protections while retained.

that Receiving Party is required by law to maintain

that such Receiving Party reasonably determines is necessary to demonstrate to Disclosing Party or any regulatory authority Receiving Party’s compliance with this Agreement or any Applicable Law or regulation

provided that all such Confidential Information retained will remain subject to the protections set forth herein for so long as it remains in Receiving Party’s possession or control
