An Affiliate is any entity that directly or indirectly controls, is controlled by, or is under common control with a party when control exists through power over management and policies via ownership of 50% or more of outstanding voting securities.

“Affiliate” means, with respect to a party, any other entity that directly or indirectly controls, is controlled by or is under common control with such entity
