Zeroth must provide a pro-rata refund of prepaid fees for services not received when Customer terminates the Agreement or an Order because Zeroth failed to cure a material breach under Section 5.2 so that Customer recovers unused prepaid amounts.

Where the Agreement or an Order is terminated by Customer
