Zeroth may terminate the Agreement and must refund Customer a prorated portion of prepaid Fees allocable to the post-termination period when none of the listed infringement remedies is available on commercially reasonable terms, so that Customer is reimbursed for unused prepaid services.

If none of the foregoing remedies is available to Zeroth on commercially reasonable terms
